Coaching Agreement Terms & Conditions

Katherine Ashmore Life Coaching is registered under the company name Ashmore Health Ltd. We coach over 18 year olds only.

Life Coaching

Transformative life coaching explores a coachee’s inner world of beliefs, assumptions, values and expectations in order to create greater possibilities in life, including achieving set goals and outcomes. Encouraging longer term competence and change in one’s life. Coaching is a partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client (Coachee) in a thought-provoking and creative process that inspires the coachee to maximise personal and professional potential. It is designed to facilitate the creation/development of personal, professional or business goals and to develop and carry out a strategy/plan for achieving those goals.

This is different from counselling, therapy or mentoring. Though some areas can be grey which we appreciate (please see Coach-Coachee Relationship below).

In order to make the most of coaching, we ask the Client to agree to the following questions:

  • I am committed to taking positive action to make improvements in my life and to meeting the goals I identify as necessary to do this.

  • I am committed to being as open and honest as necessary in order to work with my coach towards achieving my goals.

We also ask coachees to agree to the following Ground Rules

1. As the Client I understand that I am fully responsible for the decisions and choices reached during the coaching sessions.

2. I understand that ‘coaching’ is a relationship I have with my coach that is designed to facilitate the development of personal or professional goals and develop a plan/strategy for achieving those goals.

3. I understand that coaching is a comprehensive process, which may involve all areas of my life including work, family, health, relationships, education and recreation. I acknowledge that deciding how to handle any issues is my responsibility.

4. I understand that coaching is not a substitute for counselling, mental health care or substance abuse treatment.

5. I promise to inform my coach if I am currently in any kind of therapy and that any medical or therapeutic practitioners involved in my care have been advised of my intention to work with a coach.

6. I agree to commit to the programme of coaching sessions to facilitate the required change. I understand that if I am not satisfied with my progress during this time and wish to cancel my remaining sessions, I may do so at any time up 48 hours before the following session.

What To Expect in The Initial Consultation (Zoom)

Starting a journey of intensive transformative coaching is a commitment to making change in your life as well as being an exciting opportunity. To get the best possible outcome, the ‘chemistry’ or ‘fit’ between a coach and coachee is really important.

Having this right fit can make all the difference, as backed up by research. We understand that you need to feel comfortable and able to trust your coach in order to do what may be deep or challenging work.

With the free initial consultation, you can be open with your coach whether you feel it’s right and vice versa to have the best possible chance of success. The free consultation takes between 1-2 hours and is necessary in order to go ahead, with both parties deciding that the feeling is right.

Timetabling of Sessions

Sessions will be held virtually or in person with Katherine Ashmore (coach). This will require you to have good Wifi access and to find a quiet, private space where you won’t be overheard or interrupted to make the most of each session.

Katherine will book your first session appointment with you at your chemistry call or sessions thereafter. If you need to re-arrange any appointments, please give at least 48 hours notice. There is an understanding that if you fail to give 48 hours notice, you will be charged for that session.

Services

Both parties agree to engage in a four to six month Coaching Programme through meetings while Katherine Ashmore (the Coach). The Coach will be available to you by e-mail and WhatsApp as agreed e.g. WhatsApp. This programme may be extended if agreed by both parties and then a revised agreement will be circulated for your signature.

Right of Refusal

We reserve the right to refuse any session if any member of staff receives abuse or antisocial behaviour from clients (or anyone accompanying them) without offering a refund. If it is recognised in the chemistry call or throughout the coaching journey, that you would benefit more from therapy, counselling or mentoring or a different communication style, we will highlight it as soon as possible and again, reserve the right of refusal once this has been highlighted to you. Often these can go in tandem depending on circumstances and agreed with both parties.

Confidentiality

The coach/coachee relationship is one based on trust in a safe confidential space. Anything you tell us will be held confidentially unless it could put others or yourself at any risk or harm, in which case Katherine Ashmore (the Coach) reserves the right to tell the necessary appropriate third party e.g. healthcare professional. Please also see our privacy policy below. Please be aware that the Coach-Client relationship is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognised privilege. The Coach agrees not to disclose any information pertaining to the Client without your written consent which is in the initial contact form.

Payment and Cancellation Policy

The first chemistry session is on Katherine Ashmore and will be offered for free. This is an opportunity for you to gauge if the fit or approach is right. If you feel it is not, or, you are dissatisfied in any way, there is no judgement and please feel free to voice any concerns at this time. We want it to be a great experience and feel comfortable for you.

We ask for a payment in advance for coaching. Payments terms will be agreed in the initial consultation and within the following contract sent after. We ask you to make this payment before your sessions in full. The bank details will be sent to you in an invoice. When you make the payment please clearly identify your name.

Katherine’s fees reflect the high standard of certification and training acquired.

If you do not attend a coaching session or reschedule or cancel with less than 48 hours’ notice, you will be obliged to pay for the full cost of the missed appointment directly with Ashmore Health Ltd.  If more than two appointments are cancelled by you within the 48 hour policy, Ashmore Health Ltd will retain the payment and not reschedule that appointment. Likewise, if you have attended your coaching session and it has been partially completed or completed, the coaching fee will not be refunded for that session.

The Coaching Agreement

The Coaching Agreement outlines the above and below content of these Terms and Conditions but will also outline the date of validity and terms of the fee based on the number of agreed meetings or package offered.

The meetings shall be between 45 minutes in length and no more than 90 minutes, depending on the plan agreed, unless previously agreed. If rates change before this contract agreement has been signed and dated, the prevailing rates will apply.

Release of Information

The Coach engages in continuing education. In pursuing your agreement with Katherine Ashmore, you agree to your sessions being recorded via Zoom. The Coach is not responsible for Zoom online security as they are a third party. All recordings will be kept securely by the Coach according to GCPR Law. Only randomly selected recordings (audio and a script of the recordingly only) will be submitted for supervision purposes between the Coach and her Supervisor and Coachee. By signing your contract of agreement, you agree to have only your name, contact information and start and end dates of coaching shared with ICF staff members or other parties involved in the process of ICF advanced certification for the sole and necessary purpose of verifying the coaching relationship and coach ability. No personal notes will be shared.

The Legal Speak….

1. The Coach-Client (Coachee) Relationship

A. The Coach agrees to maintain the ethics and standards of behaviour established by the most worldwide established coaching body which is American, the International Coaching Federation “(ICF)”. www.coachingfederation.org/ethics. It is recommended that the Client review the ICF Code of Ethics and the applicable standards of behaviour. 

B. The Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. The Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease. 

C. The Client further acknowledges that he/she may terminate or discontinue the coaching relationship at any time. 

D. The Client acknowledges that coaching is a comprehensive process that may involve different areas of his or her life, including work, finances, health, relationships, education and recreation. The Client agrees that deciding how to handle these issues, incorporating coaching principles into those areas and implementing choices is exclusively the Client’s responsibility. 

E. The Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counselling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If the Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach. 

F.  The Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program.

2. More Information about Confidentiality
Confidential Information does not include information that: (a) was in the Coach’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Client; (d) is independently developed by the Coach without use of or reference to the Client’s confidential information; or (e) the Coach is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to the Coach and as a result of such disclosure the Coach reasonably believes there to be an imminent or likely risk of danger or harm to the Client or others; and (g) involves illegal activity.  The Client also acknowledges his or her continuing obligation to raise any confidentiality questions or concerns with the Coach in a timely manner.

3. Privacy/Data Protection

A.The Coach and the Client will each of them comply as appropriate with applicable privacy/data protection legislation (including GDPR), binding court order, judgment or decree, guidance, codes, policy or standards.

B. With regard to processing personal data/personal identifiable information (“data”) in relation to the Client, the Coach will: process such data lawfully (on an appropriate basis including but not limited to consent, or to comply with the Coach’s legal or regulatory obligations, or for contractual performance, or for the Coach’s legitimate interests), fairly and in a transparent manner; collect such data for specified, explicit and legitimate purposes and not further process such data in a manner that is incompatible with those purposes; ensure that such data is adequate, relevant and limited to what is necessary in relation to the purposes for which they are processed; maintain such data accurately; keep such data for no longer than is necessary for the purposes for which the data are processed; process such data in a manner that ensures appropriate security of the data, including protection against unauthorized or unlawful processing and against accidental loss, destruction or damage, using appropriate technical or organizational measures; maintain records of such data processing under applicable privacy/data protection legislation requirements; share such data with third parties who the Coach will inform the Client about; concerning such data, observe the Client’s privacy/data protection rights under applicable privacy/data protection legislation requirements, which may be subject to some conditions and exceptions; process such data for marketing purposes under applicable privacy/data protection legislation requirements; in case of a security breach concerning such data, where requirements of applicable privacy/data protection legislation are met, notify a regulatory or supervisory authority, board or other body responsible for administering privacy/data protection legislation, and the Client of the data security breach; and, where it is necessary for the Coach to transfer such data internationally the Coach will comply with applicable privacy/data protection legislation requirements designed to ensure the privacy of such data.

C. In connection with any infringement by the Coach of applicable privacy/data protection legislation requirements, including a security breach, concerning personal data/personal identifiable information in relation to the Client, the Coach’s entire liability under this Agreement and the Client’s exclusive remedy shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date.

4) Record Retention Policy
The Client acknowledges that the Coach has disclosed his/her record retention policy with respect to documents, information and data acquired or shared during the term of the Coach-Client relationship.  Such records will be maintained by the Coach in a format of the Coach’s choice (print or digital/electronic) for a period of not less than 4 years.  

5) Termination:
Either the Client or the Coach may terminate this Agreement at any time with 4 weeks written notice. The Coach will not reimburse any remaining sessions and offers the choice for the remaining sessions to be transferred to a named person of the Client. The Coach agrees to transfer these remaining sessions for all coaching services rendered through and including the effective date of termination of the coaching relationship intially agreed in the contract with the Client.

6) Limited Liability:
Except as expressly provided in this Agreement, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under this Agreement, and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date. 

7) Entire Agreement:
This document reflects the entire agreement between the Coach and the Client, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the Coach and the Client.

8)  Dispute Resolution:
If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and Coach agree to attempt to mediate in good faith for up to (certain amount of time such as 30 days) after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party.

9)  Severability:
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.  If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.


10) Waiver:
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

11) Applicable Law:
This Agreement shall be governed and construed in accordance with the laws of England, the United Kingdom, without giving effect to any conflicts of laws provisions.

12) Binding Effect: 

This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
